1. About these terms
The legal entity contracting with the client, and confirmation that these terms apply to all engagements unless a signed agreement says otherwise.
2. Quotations and pricing
How long a quotation stays valid, that all prices are in AED and exclusive of 5% VAT, and the conditions attached to promotional or countdown pricing — including the exact end date of any campaign.
3. Payment terms
Deposit and balance schedule, accepted payment methods, invoicing, and consequences of late or non-payment.
4. Project scope and revisions
What is included in each package, how many revision rounds are covered, how out-of-scope work is quoted and approved, and how change requests are handled.
5. Client responsibilities
Timely supply of content, logos, approvals and access. State clearly that stated delivery timelines depend on these, and how delays affect the schedule.
6. Delivery and acceptance
What constitutes delivery, the acceptance window, and the post-launch bug-fix period.
7. Intellectual property
Transfer of ownership on final payment, licensing of any third-party assets, and each party's right to reference the work as a portfolio item.
8. Third-party services
Domains, hosting, Shopify plans, app store fees, payment gateways and advertising spend are billed by those providers and are outside our control.
9. Warranties and liability
What is warranted, what is excluded, and any limitation of liability — this section in particular needs legal drafting.
10. Cancellation and refunds
Notice periods for monthly retainers, cancellation of fixed-scope projects, and the refund position at each project stage.
11. Governing law
Confirmation that these terms are governed by the laws of the United Arab Emirates and the applicable emirate's courts.
